These terms govern your use of Vattam, a software service operated by Sidharth Nedumangattu Babu, a sole proprietor in Kerala, India (we, us). By subscribing to or using Vattam you agree to them.
1. What Vattam is
Vattam is a software subscription that records loyalty points for your customers based on UPI payments made to your business, and reports repeat-visit analytics to you.
2. What Vattam is not
We are not a payment provider and we do not handle your money. Payments from your customers are processed by your own payment provider under your own agreement with them, and settle directly into your own bank account. We never receive, hold, route or have access to your sales revenue. We are not a bank, a payment aggregator, a payment gateway, or a financial services provider, and we are not regulated as one.
3. Your account
- You must be at least 18 and legally able to enter a contract.
- You must give accurate business information and keep it current.
- You are responsible for activity under your account and for keeping your login secure.
- You must hold a valid account with a supported payment provider.
4. Your responsibilities to your customers
- You set the points rate, reward threshold and reward. You are responsible for honouring the rewards your customers earn.
- You must display the loyalty programme terms to your customers.
- You must tell your customers that a loyalty programme is operating at your outlet.
- You must not use Vattam to collect customer data for any purpose other than operating your loyalty programme.
5. Fees and payment
- Subscription fees are as set out on our Pricing page or in your written agreement with us.
- Fees are billed monthly in advance and are exclusive of GST where applicable.
- Fees charged by your own payment provider are separate and are not collected by us.
- We may change fees with 30 days written notice. If you do not accept a change you may cancel before it takes effect.
6. Cancellation and suspension
You may cancel at any time; see our Refunds and Cancellation Policy. We may suspend the service if fees are unpaid after written notice and a grace period, or if the service is used unlawfully. Suspension of Vattam never affects your ability to accept payments, because we do not sit in your payment flow.
7. Availability
We aim to keep Vattam available but we do not guarantee uninterrupted service. The service depends on third parties including your payment provider and our hosting provider. We may carry out maintenance, and will give notice where reasonably practicable.
8. Data protection
Each of us has obligations under the Digital Personal Data Protection Act, 2023. We process diner personal data as described in our Privacy Policy. You are responsible for informing your customers that the loyalty programme operates at your outlet.
You may ask us to delete your account and all associated data at any time. See Deleting your account and your data for what we delete, what we are legally required to retain, and how long it takes.
9. Intellectual property
Vattam, its software, branding and documentation remain our property. You get a non-exclusive, non-transferable right to use the service during your subscription. Your business data remains yours, and you may export it at any time.
10. Limitation of liability
To the extent permitted by law, our total liability to you in any 12-month period is limited to the subscription fees you paid us in that period. We are not liable for indirect or consequential loss, including lost profits or lost business. Nothing in these terms limits liability for fraud or for anything that cannot lawfully be limited.
11. Changes to these terms
We may update these terms. Material changes will be notified by email at least 30 days before they take effect.
12. Governing law
These terms are governed by the laws of India. The courts at Kottayam, Kerala have exclusive jurisdiction.
